IMPLY Plywood

Sri Hanuman Plywood Junction

Terms & Conditions

Effective date: 24/10/2026

Service and ordering terms for dealers and business customers using Sri Hanuman Plywood Junction's WhatsApp assistant.

1. Business identity and service scope

The legal business name and trading name are both Sri Hanuman Plywood Junction ("we", "us" or "the business"). Our address is No 1248/253/253 Old No 253 HV Halli Pattanagere RR Nagar Bangalore - 560098. Our website is https://www.imply.co.in/. Contact support or privacy enquiries at info@imply.co.in or +91 91106 27384. The business operates in India.

The WhatsApp assistant supports stock enquiries and ordering for plywood, boards and related materials through text and button selections. It uses catalogue matching, AI-assisted interpretation and Tally-synchronized stock records. Photo and voice processing are not available. It does not quote prices or collect payments.

2. Presentation and acceptance of terms

The business communicates these terms when the business relationship begins. Customers explicitly acknowledge acceptance at that stage, and staff record the acknowledgement in a customer account note. Receiving a WhatsApp message, making an enquiry or receiving an automated response does not by itself establish agreement to these terms.

The service is intended for business customers aged 18 or older. [BUSINESS TO CONFIRM]: the contents and retention of the acceptance note, the version of terms acknowledged and how revised terms are presented and accepted.

3. Customer information and authority

Provide accurate contact details, delivery information and product specifications, and promptly correct errors. If ordering for a dealer or another organization, ensure you have authority to make the request and provide its information.

4. Review AI-interpreted requests

OpenAI helps extract structured requests from messages. Interpretation and catalogue matching can contain errors or omit details. Check the parsed list, quantities, thickness, size, brand, grade and notes before explicitly confirming. Correct errors or contact the business if the product shown is uncertain. An automated interpretation is not technical advice or a guarantee of suitability.

5. Stock information

Stock information comes from inventory synchronized from Tally and reflects the latest recorded sync available to the service. Stock may change between an enquiry, confirmation and fulfilment. Unknown inventory means availability is unconfirmed; it must not be treated as zero stock or as available stock. Contact the business where availability is unclear.

6. Enquiry, confirmation, acceptance and delivery

Enquiry or draft: a product request is interpreted, matched and shown for review. A draft is not yet a created order or a stock reservation.

Customer-requested hold: stock is reserved only when the customer explicitly asks to hold it. A hold is distinct from final customer confirmation or business acceptance. A reservation or bot-generated order number does not automatically guarantee fulfilment.

Customer confirmation: customers who confirm their reviewed order immediately proceed to fulfilment subject to availability, business acceptance and the agreed payment or approved-credit conditions. A customer with a held order must provide final confirmation before fulfilment proceeds.

Business acceptance: new customers' orders are confirmed after payment is received. Existing network customers may be confirmed on approved credit based on their credit profile. Payment and fulfilment statuses are updated manually. Customer confirmation on approved credit does not require payment to have already been received. [BUSINESS TO CONFIRM]: the authorized acceptance communication and treatment of unavailable or incorrectly recorded stock.

Dispatch and delivery: authorized warehouse staff receive order details for fulfilment. Dispatch and delivery are later operational stages, distinct from customer confirmation and business acceptance. [BUSINESS TO CONFIRM]: how dispatch and delivery status are communicated.

7. Pricing and payment

The current bot does not display or quote prices and does not take payments. Prices, taxes and payment or credit terms are communicated and agreed separately case by case based on the customer relationship. New customers pay before order confirmation; existing network customers may use approved credit based on their credit profile. Do not treat a bot confirmation as a price agreement. [BUSINESS TO CONFIRM]: applicable quotation and invoice documentation, approved payment methods and how agreed credit due dates are recorded.

8. Delivery arrangements, risk and title

Customers arrange their own transport and pay the delivery charges. The company does not bear those charges. [BUSINESS TO CONFIRM]: collection coordination, estimated dispatch or delivery timelines, unloading arrangements and procedures for transport changes or failed collection.

Ownership and responsibility for loss or damage during transport pass to the customer when the goods are handed to the customer's transporter, subject to applicable law. This does not remove rights concerning goods already damaged or incorrectly supplied before handover. No delivery deadline is promised by the assistant.

9. Cancellation and reservation release

Draft requests can be cancelled before confirmation. Customers may change or cancel an accepted order before dispatch free of charge by contacting the business or its authorized administrator at info@imply.co.in or +91 91106 27384. Payments for prepaid orders cancelled before dispatch are refunded within three to five working days after cancellation approval.

Planned automatic hold expiry: if a customer-requested hold is not confirmed by the customer within 24 hours after reservation creation, the held order would be cancelled, reserved stock released and the reservation record deleted. Approved-credit customers may confirm within that period without upfront payment under their agreed credit terms. This automatic expiry process is planned and is not currently implemented; it is not a current automatic cancellation or deletion guarantee.

[BUSINESS TO CONFIRM]: the current manual reservation-release procedure, cancellation-approval workflow, working-day calendar and treatment of changes or cancellation after dispatch.

10. Returns, damaged goods and refunds

Routine returns are not accepted. Damaged goods and incorrect supply are exceptions: report them to the business within 15 days of delivery for replacement. Collection and replacement-delivery charges are reviewed for each order. [BUSINESS TO CONFIRM]: the inspection process, evidence needed and replacement arrangements.

The stated remedy for damaged goods or incorrect supply is replacement. Prepaid orders cancelled before dispatch are refunded within three to five working days after cancellation approval as described above. These business policies do not limit applicable statutory rights or remedies, including any remedy required by law.

11. Prohibited misuse

Do not impersonate another person or business, submit orders without authority, attempt unauthorized access, interfere with the service or its inventory systems, send malicious submissions or use the assistant for unlawful activity. Do not attempt to manipulate stock reservations through false or abusive requests.

12. Service availability and dependencies

Service operation depends on Meta's WhatsApp Business Platform, OpenAI, Supabase, inventory synchronization and other relevant infrastructure. Maintenance, outages, network issues or delayed synchronization may interrupt messages, processing or stock checks. Continuous availability and error-free operation are not guaranteed. Contact the business if an order status is unclear.

13. Responsibility and limitations of liability

Responsibility for loss must be assessed under applicable law and the facts, including the cause of loss and each party's conduct. The business does not exclude liability or waive customer rights that cannot lawfully be excluded or waived. AI errors, service interruptions and stock discrepancies do not automatically remove any party's legal responsibilities.

[BUSINESS TO CONFIRM]: any proportionate liability limits, exclusions or caps after legal review, including their scope and statutory exceptions. No unreviewed financial cap or blanket waiver is imposed by this draft.

14. Suspension or termination

Service access may be restricted or suspended to address misuse, unauthorized access or threats to the service. [BUSINESS TO CONFIRM]: decision authority, notice where appropriate, review or restoration process and treatment of existing confirmed orders and reservations. Suspension does not itself cancel lawful rights or obligations.

15. Intellectual property

Business catalogue content, names and service materials remain subject to the rights of their respective owners. Third-party brands and provider services remain subject to their owners' rights. Using the assistant grants no ownership of those materials. Customers retain rights in the content they provide; processing that content for the service is described in the Privacy Policy. [BUSINESS TO CONFIRM]: any additional permitted-use or licensing terms.

16. Governing law and disputes

The operating jurisdiction supplied by the business is India. [BUSINESS TO CONFIRM]: the final governing-law clause, dispute-resolution procedure and competent courts or jurisdiction after legal review, subject to mandatory applicable law. Contact the business first to raise a service or order concern. This draft specifies no arbitration requirement or exclusive court.

17. Changes, effective date and contact

The effective date is 24/10/2026. [BUSINESS TO CONFIRM]: how changes are communicated, when revised terms apply and how existing orders are treated.

For support or questions about these terms, contact Sri Hanuman Plywood Junction at info@imply.co.in or +91 91106 27384, or at No 1248/253/253 Old No 253 HV Halli Pattanagere RR Nagar Bangalore - 560098.

18. Privacy Policy

Read the linked Privacy Policy for the confirmed processing practices, named service providers, privacy-request contact and unresolved retention or deletion decisions. It forms the companion information notice for this service.

Read the Privacy Policy before sharing information through the service.
